Service Provider Agreement

1. Introduction
This Service Provider Agreement ("Agreement") is entered into between AskOwethu (Pty) Ltd ("AskOwethu", "we", "our", or "us") and the individual or business registering as a service provider ("Provider", "you", or "your").
By registering as a Provider on the AskOwethu Platform, you acknowledge that you have read, understood, and agree to be legally bound by this Agreement.
2. Purpose of the Platform
AskOwethu operates a digital marketplace that connects Customers with independent service providers. AskOwethu does not employ Providers, supervise their work, or guarantee the availability of bookings.
Your relationship with AskOwethu is that of an independent contractor. Nothing in this Agreement creates an employment relationship, agency, partnership, franchise, or joint venture.
3. Eligibility
To register you must:
- Be at least 18 years old.
- Be legally entitled to work in South Africa.
- Possess all licences, permits or registrations required for your trade.
- Provide valid identification.
- Provide accurate banking details.
- Successfully complete AskOwethu's verification process.
AskOwethu may reject or suspend any application at its sole discretion.
4. Provider Profile
You agree that all information supplied to AskOwethu is accurate and current. You must promptly update your profile if your contact details, banking details, qualifications or licences change.
Providing false information may result in immediate suspension or permanent removal from the Platform.
5. Background Checks
AskOwethu may request:
- South African ID or passport
- Selfie verification
- Proof of address
- Trade certificates
- Business registration documents
- Professional licences
- Police clearance (where appropriate)
- Tax information
- Banking verification
Failure to provide requested documentation may delay activation or result in deactivation.
6. Your Responsibilities
You agree to:
- Perform services professionally.
- Complete jobs with reasonable care and skill.
- Arrive on time.
- Maintain a respectful attitude.
- Comply with all applicable laws.
- Use appropriate safety equipment.
- Maintain your own tools and transport.
- Maintain all required licences.
You remain solely responsible for the quality of your services.
7. Accepting Bookings
You are under no obligation to accept every booking request. Once you accept a booking, you agree to:
- Complete the agreed work.
- Perform the services quoted.
- Notify the Customer if delays arise.
Repeated cancellations after accepting work may affect your Provider rating and access to future bookings.
8. Pricing
Providers determine their own prices unless AskOwethu introduces optional pricing guidelines. You must quote honestly and fairly. You may not increase the quoted price after Customer acceptance unless:
- the Customer requests additional work;
- unforeseen circumstances materially change the scope of work; and
- the Customer expressly approves the revised price through the Platform.
9. Payments
Customers pay AskOwethu through the Platform. AskOwethu securely holds customer funds using authorised payment processors until the booking is completed or otherwise released under the Platform policies.
Providers must never request direct payment from Customers for bookings made through AskOwethu.
10. Provider Earnings
Provider Earnings equal:
Customer Job Price, less:
- AskOwethu commission
- Payment processing costs
- Authorised refunds
- Chargebacks
- Lawful deductions
Your earnings become eligible for payout once the Customer provides the Completion Code, or AskOwethu otherwise confirms successful completion.
11. Weekly Payouts
Eligible earnings are paid every Wednesday into your nominated South African bank account. AskOwethu may delay payouts where:
- fraud is suspected;
- a dispute exists;
- payment reversal is pending;
- incorrect banking details have been supplied;
- legal obligations require withholding.
12. Taxes
You are solely responsible for:
- income tax;
- VAT registration (where applicable);
- UIF obligations;
- business taxes;
- accounting records.
AskOwethu does not deduct PAYE because Providers are independent contractors.
13. Equipment
You are responsible for supplying:
- tools;
- equipment;
- materials;
- transport;
- uniforms (where applicable);
- safety equipment.
14. Insurance
You are encouraged to maintain adequate public liability insurance and any insurance appropriate for your trade. AskOwethu does not insure your business, equipment, or services unless expressly agreed in writing.
15. Customer Property
You agree to:
- respect Customer property;
- prevent unnecessary damage;
- report accidental damage immediately;
- leave the work area reasonably clean upon completion.
16. Completion Code
Customers receive a Completion Code for each booking. You may request the Completion Code only after completing the agreed work. You may not pressure, intimidate or mislead Customers into providing the Completion Code.
17. Ratings
Customers may rate your services. Provider ratings may influence:
- search ranking;
- eligibility for promotions;
- continued access to the Platform.
Repeated poor ratings may lead to suspension.
18. Off-Platform Bookings
You agree not to:
- encourage Customers to cancel Platform bookings and pay you directly;
- advertise competing services using AskOwethu messaging;
- share payment details to avoid Platform fees.
Circumvention of the Platform constitutes a material breach of this Agreement.
19. Fraud
The following constitute fraud:
- fake bookings;
- fake Completion Codes;
- collusion with Customers;
- false invoices;
- duplicate accounts;
- identity theft;
- misleading qualifications.
Fraud may result in:
- immediate suspension;
- forfeiture of unpaid earnings;
- legal action;
- criminal reporting where appropriate.
20. Confidentiality
You must keep confidential:
- Customer information;
- Platform information;
- pricing data;
- business processes;
- non-public Platform features.
21. Intellectual Property
AskOwethu owns all intellectual property relating to the Platform, including trademarks, logos, software, databases, and marketing materials. No ownership is transferred to Providers.
22. Privacy
You agree to comply with all applicable privacy legislation, including the Protection of Personal Information Act, 4 of 2013 (POPIA). Customer information may only be used for completing booked services. See our Privacy Policy for further details.
23. Suspension
AskOwethu may temporarily suspend your account where necessary to investigate complaints, fraud, safety concerns, poor service quality, repeated cancellations, or abusive conduct. During suspension, payouts may be withheld until investigations conclude.
24. Termination
Either party may terminate this Agreement. AskOwethu may immediately terminate your account for fraud, repeated misconduct, criminal conduct, serious customer complaints, violation of Platform policies, or attempts to bypass Platform payments.
Termination does not affect obligations arising before termination.
25. Limitation of Liability
To the maximum extent permitted by South African law, AskOwethu shall not be liable for loss of profits, loss of future work, business interruption, or indirect or consequential damages. Nothing excludes liability that cannot legally be excluded.
26. Indemnity
You agree to indemnify and hold harmless AskOwethu from claims arising from your services, negligence, unlawful conduct, breach of this Agreement, or injury or damage caused by your work.
27. Governing Law
This Agreement shall be governed by the laws of the Republic of South Africa. Any dispute shall be subject to the jurisdiction of South African courts, without limiting statutory rights available under applicable legislation.
28. Changes to This Agreement
AskOwethu may amend this Agreement from time to time. Updated versions will be published on the Platform. Continued use of the Platform after amendments take effect constitutes acceptance of the revised Agreement.
29. Acceptance
By selecting "I Agree", registering as a Provider, or continuing to use the AskOwethu Platform, you acknowledge that you have read this Agreement, you understand your rights and obligations, and you agree to be legally bound by its terms.
